What is a price qualifier?

What it means and how to read it on a deal.

What it is

A note on the offer when the filing doesn't state it as a fixed amount.

Also calledApproximateSubject to adjustment

How to read it

Approximate
The filing calls the per-share price approximate or estimated, for example when it was worked out from a total.
Subject to adjustment
The agreement can still change the price by a formula, such as a possible downward adjustment.

The usual clause that adjusts the price for a stock split doesn't count.
